TKT Systems – Terms and Conditions for Ticket Buyers

Welcome to TKT Systems Ltd ("TKT", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your use of our platform, website, and services for discovering, purchasing, and managing tickets to events via Ticket.ug (the "Services"). By using our Services, you accept and agree to be bound by these Terms, our Privacy Policy, and any other applicable policies.

1. Acceptance of Terms

By clicking "I Agree" or by using the Services to purchase or manage a ticket, you affirm that you have read, understood, and agree to be bound by these Terms. These Terms constitute a legally binding agreement between you and TKT Systems Ltd under the laws of the Republic of Uganda.

2. Eligibility

• At least 18 years old, or
• Have verifiable consent from a parent or legal guardian (for school events or youth engagements).

TKT may request proof of age or consent where necessary. We reserve the right to cancel tickets purchased in violation of this clause.

3. Ticket Purchases

a. All Sales Are Final

Unless explicitly stated otherwise by the event organizer or required under Ugandan law, all ticket purchases are non-refundable.

b. Transferability

Ticket transfer policies are set by the event organizer. Some tickets may be non-transferable or have time-based restrictions.

c. Pricing and Fees

Ticket prices are determined by the event organizer and may include:

• TKT service fees (a % of ticket price),
• Payment processing fees from mobile money or card gateways,
• Applicable VAT (18%) and any Withholding Tax (WHT) as required by law.

All prices are displayed in Ugandan Shillings (UGX) unless otherwise stated.

d. Currency Conversion

If you’re purchasing from outside Uganda, prices may be converted using prevailing exchange rates. Additional bank charges may apply.

4. Event Organizer Responsibility

• TKT is a technology service provider, not an event organizer.
• We do not produce, manage, or control events.
• We are not responsible for: event quality, changes in schedule, cancellations, or venue logistics.

Any claims related to the event itself must be directed to the event organizer. TKT will facilitate communication when possible but assumes no liability for organizer actions or omissions.

5. Account Responsibility

• Keeping your account details (email, phone number) up to date.
• Ensuring your login credentials are secure.
• All activities conducted through your account.

Notify us at [email protected] immediately if you suspect unauthorized access.

6. Prohibited Conduct

You agree not to:

• Commit fraud (e.g. stolen payment methods),
• Resell tickets without permission,
• Use bots or automated tools to access or disrupt the platform,
• Tamper with ticket QR/NFC data,
• Infringe intellectual property of TKT or event organizers,
• Engage in any unlawful behavior while using our platform.

Violations may result in ticket cancellation, account suspension, and legal action.

7. Event Entry and Ticket Verification

• Your ticket (QR code, NFC wristband, or digital file) will be scanned at the venue.
• Make sure your device is charged and the ticket is readable.
• Organizers may require a valid ID or email used for purchase.
• Tickets that are invalid, duplicated, or altered will be denied entry.

8. Cancellations, Rescheduling, and Refunds

• We will notify you using your account contact information.
• Refunds are subject to event organizer approval.
• TKT will process refunds only if instructed and funded by the organizer.
• Processing time: Typically within 10 business days from the organizer’s instruction.

TKT is not liable for costs incurred by you (e.g., travel, accommodation) related to event changes.

9. Liability Disclaimer

TKT provides the Services "as is" and "as available". We do not guarantee:

• Ticket availability or seat allocation,
• That the event will proceed as advertised,
• That the platform will be error-free or uninterrupted.

To the fullest extent permitted under Ugandan law, TKT disclaims liability for:

• Event-related issues,
• Third-party failures (e.g., internet or mobile money providers),
• Indirect, special, incidental, or consequential damages,
• Loss of data, income, or goodwill.

Force Majeure: We are not liable for delays or failures caused by factors beyond our control (e.g., natural disasters, government actions, internet outages, civil unrest).

10. Privacy

We collect, use, and protect your data in accordance with our Privacy Policy. By using the Services, you consent to data processing under Ugandan law, specifically the Data Protection and Privacy Act, 2019.

11. Dispute Resolution and Governing Law

a. Governing Law

These Terms are governed by the laws of the Republic of Uganda.

b. Informal Dispute Resolution

Contact [email protected] for any dispute. We encourage resolution via mutual communication.

c. Arbitration Clause

If unresolved, disputes will be settled by binding arbitration in Kampala under the Arbitration and Conciliation Act, Cap. 4. The arbitrator’s decision will be final and binding, and may be enforced in Ugandan courts.

d. Class Action Waiver

You agree that disputes will be resolved individually and not as part of a class action or group proceeding.
